OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED. A PURCHASE WILL NOT ENHANCE YOUR CHANCES OF WINNING.

1. Introduction. The Mudd Sisterhood of the Traveling Pants 2 Sweepstakes (the "Sweepstakes") is sponsored by Iconix Brand Group, Inc. (the "Sponsor"). Winners will be selected at the conclusion of the Sweepstakes from among all eligible entries received during the Sweepstakes Period (as defined below). The Sweepstakes is offered only in the forty-eight (48) Continental United States and the District of Columbia (excluding Alaska, Hawaii, Puerto Rico, all U. S. Territories and Possessions and all Overseas Military Installations) and is void where prohibited by law.

2. Timing. The Sweepstakes begins as of July 10, 2008 at 12:01:00 a.m. U.S. Eastern Time ("ET") and ends as of August 28, 2008 at 11:59:59 p.m. ET (the "Sweepstakes Period").

3. Eligibility. The Sweepstakes is open only to legal residents of the forty-eight (48) Continental United States and the District of Columbia (excluding Alaska, Hawaii, Puerto Rico, all U.S. Territories and Possessions and all Overseas Military Installations) who are thirteen (13) years of age and over as of July 10, 2008. Employees, officers and directors of Sponsor, Warner Bros. Entertainment Inc., Alcon Entertainment, and their respective affiliates, subsidiaries, agents, as well as the immediate family members (defined as parents, spouse, children, siblings and grandparents) and those living in the same household of each such employee, officer and director whether legally related or not are not eligible to enter or win. By participating, entrant agrees to abide by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects.

4. How to Enter. You can register for the Sweepstakes by properly completing the online entry form located at www.jcp.com/muddsweeps. All entries become the exclusive property of the Sponsor. Proof of sending will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, or misdirected entries, which will be disqualified. LIMIT: ONE (1) ENTRY PER PERSON, PER E-MAIL ADDRESS, PER HOUSEHOLD. Use of any automated program to enter will result in disqualification. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. Potential winners may be required to show proof that s/he is the authorized account holder. The "authorized account holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. Entries will not be acknowledged.

5. Selection of Winner. . On or about August 29, 2008, one (1) Winner will be selected in a random drawing from among all entries received in the Sweepstakes throughout the Sweepstakes Period. The random drawing will be conducted by Sponsor whose decisions on all matters relating to this Sweepstakes shall be final and binding. Odds of winning depend on the number of eligible entries received. Entrants selected must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfillment of all requirements. Notification will be sent via e-mail and/or telephone to the selected winner. Except where prohibited, potential winners must sign and return within fourteen (14) business days of attempted notification, an Affidavit of Eligibility and Liability/Publicity Release in order to claim the prize. If a winner cannot be contacted within three (3) calendar days of the first attempt to contact him/her or if s/he fails to sign and return the Affidavit of Eligibility and Liability/Publicity release within the required time period, an alternate potential winner may be selected in his/her place at random.

6. Prizes: Grand Prize: One (1) grand-prize winner will win a trip to Greece for the winner and one travel companion. This prize specifically includes round trip airfare for two (2) (economy class) from winner's nearest major city to Athens, Greece, and five (5) nights hotel accommodation (double occupancy) for the winner and guest. The winner is responsible for any expenses not expressly included in the prize description, such as additional ground transportation expenses, incidentals, meals, beverages, passport/visa fees and any other expenses. Federal, state and local sales or other taxes and surcharges are the responsibility of the winner. If the winner is a minor, the travel companion must be the winner's parent or legal guardian. If the winner is not a minor, but wishes to bring a minor as a companion, the winner must be that companion's parent or legal guardian. Winner and travel companion are solely responsible for obtaining passports. Approximate retail value ("ARV") of Grand Prize is $3,500. The ARV of the prizes represents Sponsor's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prizes turns out to be less than the stated approximate retail value, the difference will not be awarded in cash. The prizes may not be exchanged for cash, are non-transferrable, non-refundable, non-saleable and must be accepted "as awarded." Prize Provider reserves the right to substitute Grand Prize for a prize of like value.

Second Place Prize: Five winners will receive a MUDD Shoe Wardrobe which will include four (4) pairs of MUDD shoes. (ARV = One Hundred Twenty Dollars ($120.00) (USD) per winner). Total ARV of Second Place Prizes combined = Four Hundred Eighty Dollars ($480.00) (USD).

Third Place Prize: 10 winners will receive a DVD library and one item of signed movie paraphernalia from Sisterhood of the Traveling Pants 2. (ARV = One Hundred Dollars ($100.00) (USD) per winner). Total ARV of all Third Place Prizes combined = One Thousand Dollars ($1,000.00) (USD).

Total ARV of all prizing combined: Four Thousand Nine Hundred Eighty Dollars ($4,980.00) (USD).

7. Publicity. Except where prohibited, participation in the Sweepstakes constitutes 'winners' consent for Sponsor and Prize Provider to use 'winners' name, likeness, photograph, picture, portrait, voice, biographical information, opinions, hometown and state and/or any statements by winners and/or Grand Prize winner's travel companion regarding the Sweepstakes or Sponsor/Prize Provider for advertising and promotional purposes in any media without further notice, payment or consideration except where prohibited by law. If Grand Prize winner is not the age of majority in the jurisdiction in which Grand Prize winner resides, his/her parent/legal guardian must provide consent for Grand Prize winner's participation in the Sweepstakes.

8. General Conditions. Sponsor reserves the right to cancel, suspend or modify the Sweepstakes if fraud, technical failures or any other factor impairs the integrity of the Sweepstakes, as determined by Sponsor at its sole discretion. In such event, Sponsor reserves the right to award the applicable prize in a random drawing from among all eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage Sponsor's Web site or undermine the legitimate operation of this Sweepstakes may be a violation of criminal and civil laws and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that, or any other provision.

9. Release. By participating in this Sweepstakes and accepting any prize, winners agree to release and hold harmless Sponsor, Prize Provider, Warner Bros. Entertainment Inc., Alcon Entertainment, their subsidiaries and related companies, any company involved with the Sweepstakes, and each of their respective officers, directors, employees and agents from and against any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in Sweepstakes, or possession, acceptance and/or use or misuse of prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Moreoever, Grand Prize winner's travel companion must also sign a similar release in order to participate in the prize award. Neither Sponsor, Warner Bros. Entertainment Inc., Alcon Entertainment, nor their respective parent companies, subsidiaries of each, nor their respective officers, directors, employees or agents (collectively, "Released Parties") shall be liable for any loss or damage to (a) any baggage or any unauthorized intervention whether or not caused by any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity(ies), equipment failure, including overloading of the website due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), labor or material shortage(s), transportation interruption(s) of any kind, work slow-down(s), civil disturbance(s), insurrection(s), riot(s), or any other similar or dissimilar cause(s) beyond Sponsor's sole and reasonable control; (b) damage caused by computer virus or otherwise resulting to any computers from any entrant's access to the Sweepstakes website or entry into the Sweepstakes; (c) printing or other errors appearing in the rules or other Sweepstakes materials; (d) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from any entrant's participation in the Sweepstakes or receipt or use of any prize. Released Parties shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any performer(s)/event(s), air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the Grand Prize winner's and his/her travel companion transportation and such contracts shall be solely between the Grand Prize winner, his/her travel companion and such transportation companies. Released Parties shall not be parties to such contracts and shall assume no responsibility in this connection. Released Parties shall not be liable for any loss, theft or damage of cash, cameras, jewelry, securities, heirlooms, negotiable papers or other valuables. If the Grand Prize winner becomes disabled or cannot otherwise fully enjoy the Grand Prize travel package due to illness, Sponsor shall have the option of: (1) being relieved of liability for fulfillment of the Grand Prize award; or (2) at Sponsor's sole discretion extending the period during which the Grand Prize may be awarded for a period equal to the duration of the Grand Prize winner's disability or illness, in which case certain prize components may not be available. The Grand Prize winner must prove such disability by a doctor's certificate, which certificate shall be endorsed by another physician agreeable to Sponsor and Grand Prize winner at Sponsor's expense. Sponsor's failure to enforce any term of these rules shall not constitute a waiver of that provision; you further agree that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorneys' fees and/or experts' fees and costs. By participating in the Sweepstakes, you waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
Grand Prize winner and companion are solely responsible for all applicable federal, state and local taxes and any other expenses and costs not expressly listed above, including, but not limited to, transfers, gratuities, meals, fuel, rental car, incidentals, and entertainment. All taxes on Grand Prize, First Place Prizes, Second Place Prizes, Third Prizes and other expenses related to accepting and/or using these Prizes not listed in these rules are the sole responsibility of winners. The value of the Grand Prize and First Place, Second Place and Third Place Prizes will be taxable to winners as income. All winners must supply Sponsor with his/her social security number for tax purposes. An IRS Form 1099 will be issued in the name of winners, or if a minor in the jurisdiction in which s/he resides, in the name of his/her parent or legal guardian, for the actual value of the Prize received. Sponsor shall have no responsibility or obligation to any winner or potential winner who is unable or unavailable to accept or utilize any Prize as described herein.

10. Limitations of Liability. Sponsor and Prize Provider, as well as any companies involved with the Sweepstakes, are not responsible for: (1) incorrect or inaccurate transcription of entry information or late, lost, illegible, incomplete, misdirected entries or entries received through impermissible or illegitimate channels, all of which will be disqualified; (2) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer, network, hardware or software; (3) the unavailability or inaccessibility of any service; (4) unauthorized human intervention in any part of the entry process or the Sweepstakes; (5) electronic, human or other error which may occur in the administration of the Sweepstakes or the processing of entries; or (6) any injury or damage to persons or property, including but not limited to entrant's computer, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes, acceptance or use of any prize, or from downloading any material from Sponsor's Website(s), regardless of whether the material was prepared by Sponsor or a third party, and regardless of whether the material is connected to Sponsor's Website by a hypertext link.

11. Disputes. Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state and federal courts located in New York, New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' and/or experts' fees and costs; and (3) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant or Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State New York.

12. Data Collection. Sponsor collects personal information from you when you enter the Sweepstakes. The information collected is subject to the privacy policy of www.iconixbrand.com and jcp.com/muddsweeps.

13. Winner's List/Official Rules. For the name, city and state of the winners and/or a set of Official Rules, send a self-addressed, stamped envelope to Iconix Brand Group, Inc., ATTN: Justine Marino/ Mudd Sweepstakes, to the address listed below. VT residents may omit return postage.
